By-laws of the San Francisco Women's Flag Football League
Organization Name: San Francisco Women's Flag Football League (hereafter "the League").
PURPOSE: Organize and play women's flag football and to collect and raise money for such purpose.
MEMBERSHIP: Membership in the League is open to any woman above the age of 18 who would like to play football. There is no individual membership fee except to the extent that each team is required to submit an application listing the team's name, sponsor if any, each team player's name, the team name, and the team manager with the required entry fee to cover the cost of reserving fields and the officiating fee. (The entry fee may changed from season to season in relation to the cost of those fees.) The application shall be signed by the team manager with a statement to the effect that she has explained and each player understands and agrees that she is playing flag football in this league at her own risk and she alone is responsible for obtaining insurance coverage to cover any injuries incurred while playing football.
Any money not used for fields or officials during the season can be used to pay for championship awards and any other costs associated with the League at the discretion and agreement of the participating managers. Each manager has the right to request with 10 days notice, an accounting of any monies spent by the League. In no event shall any money collected by the League treasurer (or organizer during the initial season) be fore her private use or for the private use of anyone in the League. The League shall be a non-profit unincorporated organization.
The League play shall be governed by the official rules of this League, a copy of which is attached hereto and incorporated into these by-laws.
OFFICERS AND DIRECTORS:
Each team manager shall automatically be on the Board of Directors of the League. The Board shall meet and elect by a simple majority vote, the Commissioner, Treasurer, and secretary for the next term which term shall not exceed one year for every year thereafter in which the League is in existence. Each team shall represent one vote and shall have voting power. In order for any vote to be valid there must be a quorum present. a Quorum is 2/3 of the existing managers. All decisions of the League must be by simple majority vote of the participating managers unless otherwise specified by these by-laws. These by-laws may be amended only by a 2/3 vote of the Board of Directors when a quorum is present. Each Board Director shall also have the power to call with thirty days written notice, a meeting of the Board to vote on and discuss League matters. Board Directors may be removed or replaced freely by the majority vote of each Board Director's own team members or by a 2/3 majority of the Board when in the best interest of the Board.
DUTIES OF COMMISSIONER:
The duties of the Commissioner shall be, with the assistance of the other Board Directors, to work with the San Francisco Recreation and Parks Department or any other appropriate facility to secure field reservations for the spring and fall League seasons proceeding the election of the Commissioner and to secure officials for each game of that season and to draft a League schedule specifying the time and place of such games and to promote the League in any other way deemed appropriate by a majority vote of the managers.
DUTIES OF THE TREASURER:
The duties of the treasurer shall be to collect the entry fees of each team, to set a deadline for the payment of such fees, to pay the officials and the facility reserving fields for League play and to do any other act mandated by the Board or involving the payment or collection of money for use by or for the League.
DUTIES OF THE SECRETARY:
The League secretary shall be responsible for keeping minutes of meetings, tallying votes at the meetings, and keeping League business records.
